PRAISE BAND SWEEPSTAKES PROMOTION ("SWEEPSTAKES")
OFFICIAL RULES

ELIGIBILITY.

1. NO PURCHASE NECESSARY TO ENTER AND WIN. The Sweepstakes is open to all places of worship ("Church") located within the United States (excluding those located in Alaska, Florida and Puerto Rico) that are registered nonprofit corporations having tax-exempt status as issued by the United States Internal Revenue Service. Any Church’s ministers and members of its congregation, as identified on the members’ rolls of those Churches, are eligible to enter the Sweepstakes for and on behalf of their Church (the "Entrants"). The eligible Entrants must be legal residents of the United States. All Entrants must be 18 years or older. Children under the age of 18 may enter the Sweepstakes only with the supervision and consent of a parent or guardian. The Sweepstakes is void (i) in Alaska, Florida and Puerto Rico, and (ii) where prohibited by law, regulation or ordinance. Employees of Yamaha and their families, and those of its subsidiaries and affiliated companies are not eligible to enter and win. By entering the Sweepstakes, all Churches and Entrants agree to abide by the Sweepstake’s Official Rules and Yamaha’s Privacy Policy, both stated herein. Churches and Entrants further agree to receive information via email from Yamaha, with the opportunity to opt-out of receiving future communications from Yamaha.

ENTRY AND ODDS.

2. Entry forms are available at www.yamaha.com and online registration is required through the website. Visit www.yamaha.com, click the drop-down "Links" tab, and go to the "Worship Forum" for online registration. All designated information must be submitted to be eligible to enter and win. The Sweepstakes entries will be accepted from November 15, 2002 until noon (pst) on December 15, 2003. Limit one entry per individual per monthly drawing. Entries not drawn as a winner during a month will remain in the Sweepstakes for all remaining monthly drawings. Automated entries, as well as incomplete, untimely, lost, misaddressed or misdirected entries will be considered disqualified. In case of a dispute regarding an email address, please see Official Rule No. 7, Internet. All entries become the property of Yamaha. The odds of winning will depend on the number of eligible online entries received.

WINNER SELECTION, NOTIFICATION AND ACKNOWLEDGEMENT.

3. Prizewinners of the Sweepstakes will be the Church identified on Entrant’s online registration form; and all Entrants must be members of the prizewinning Church, as identified on the Church’s members’ rolls. Prizewinners will be chosen by random drawing; one (1) winner per month, beginning in January 2003, for twelve (12) months for a total of twelve (12) winners. Random drawings will be held on the 15th day of each month, commencing January 15, 2003, through and including December 15, 2003. No drawings will occur in November and December of 2002.

4. Each month, the Entrant for the Prizewinner will be notified by email within five (5) business days following the end of each random drawing. The Entrant for the Prizewinner must respond to Yamaha’s email prize notification within fifteen (15) business days or such Entrant’s entry will be disqualified, the prize will be forfeited and an alternate Entrant for the Prizewinner will be selected by random drawing. Other terms for disqualification are, including but not limited to (i) the prizewinning Church does not have a current tax-exempt status with the United States Internal Revenue Service, (ii) the prizewinning Church refuses to accept the prize for any reason, (iii) the Entrant is not a member of the Church identified on the online registration form and is not on the Church’s members’ rolls.

5. By accepting the prize, each Prizewinner agrees to be solely responsible for all taxes pertaining to the awarded prize. Each Prizewinner and Entrant for Prizewinner agree to allow Yamaha to use their names and likenesses online to notify the public of Prizewinner’s winnings, and may be used in advertising and promotional activity without compensation. A list of Prizewinners and Entrants of Prizewinners will be made available to the public on Yamaha’s website www.yamaha.com and will be available within one (1) week of Prizewinner’s confirmed award.

PRIZES AND THEIR VALUE.

6. The following prizes will be awarded for the particular drawings indicated:
January 15, 2003: a Yamaha Clavinova CLP150 (An 88-Key Clavinova dark rosewood finish digital piano with graded hammer effect keyboard. This keyboard is perfect for many church service or rehearsal applications.) MSRP: $3,195.00.
February 15, 2003: a Yamaha S90 (Award winning sounds of the Motif, in a full sized 88-note, weighted synthesizer. Features the world’s most expressive, three-layer piano sound.) MSRP $2,350.00.
March 15, 2003:

The total current retail value for the prizes to be awarded in this Sweepstakes is $17,974.95. Retail values may change and prizes are subject to change by Yamaha without notice to Entrants but any prizes that are changed by Yamaha shall be substituted with a prize of equal or greater retail value. All prizes come with the available manufacturer warranty.

7. If, for any reason, Yamaha is unable to conduct this Sweepstakes as planned due to technical failures, such as those caused by computer virus, hacking, other unauthorized interference, fraud, or any other cause beyond the control of Yamaha which obstructs or otherwise adversely affects the proper administration, reliability, fairness, or integrity of its Sweepstakes, Yamaha reserves the right, at its sole discretion, to disqualify any person found to have interfered or tampered with the conduct Sweepstakes, and if deemed necessary by Yamaha, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes. Yamaha assumes no responsibility for any failure in transmission, however caused, including any omission, interruption, deletion, defect, communications line failure, theft or destruction of information or unauthorized access to entries, their damage or alteration. Yamaha is not responsible for its failure to receive any email or entry due to software failure, technical problems, human error or transmission congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in this Sweepstakes or downloading any materials in this Sweepstakes. CAUTION: YAMAHA RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER PENALTIES, OR REMEDIES, TO THE FULLEST EXTENT PERMITTED BY LAW, FROM ANY PERSON(S) ATTEMPTING TO DELIBERATELY INTERFERE WITH THE CONDUCT OF THIS SWEEPSTAKES OR TO DAMAGE ITS WEB SITE.

If a dispute arises over the identity of the person who transmitted entry from the identified email address, the "Authorized Account Holder" of the email address submitted at time of entry will be declared the winning Entrant for Prizewinner. The "Authorized Account Holder" is defined as the natural person assigned to an email address by an internet access provider, online provider or other organization (e.g. business, education institution, etc.) responsible for assigning email addressees for the domain associated with the submitted email address. Any entry sent through the use of an automated sending device will not be accepted and will not be considered a valid entry.

GENERAL CONDITIONS AND RELEASE.

8. By participating in this Sweepstakes, all Entrants, Entrants’ Churches and Prizewinners release, discharge and agree to hold harmless Yamaha Corporation of America, its parent company, Yamaha Corporation, and their respective partnerships, subsidiaries, divisions, branches, affiliates and agencies, including, without limitation, their respective officers, directors, shareholders and employees (collectively "Releasees") from and against any and all liability or claims for any injury, loss, illness, litigation or damages arising out of their participating in the Sweepstakes and/or the acceptance, use, misuse, non-use or possession of the prize. Releasees are not responsible for printing or typographic errors in any Sweepstakes or related material or for stolen, lost, late, misdirected, damaged, incomplete, and/or illegible entries or transmission. If, in Yamaha’s opinion, there is any suspected or actual evidence of tampering with any portion of the Sweepstakes, or if fraud or actions by Entrants compromise, corrupt or affect the administration, integrity, security, fairness or conduct of the Sweepstakes, Yamaha reserves the right to disqualify any individual and/or void any entries submitted fraudulently, to modify or suspend the Sweepstakes, or to terminate the Sweepstakes and conduct a random drawing to award the prize using all non-suspect eligible entries received as of the date of such action.

Yamaha is not responsible for lost or misdelivered prizes due to Entrant’s furnishing inaccurate or improper address information. Yamaha is also not responsible for lost, stolen or damaged prizes once received and in the possession of Prizewinner.

In the event that any dispute arises regarding the meaning or interpretation of these Official Rules, participants agree that the dispute shall be resolved by applying the laws of California and that it shall be resolved by and within the courts of that state. Official Rules are subject to change without notice.

9. Except as provided above, all personal information supplied by Entrants will be subject to Yamaha’s Privacy Policy as referenced herein.
